Mississippi Gaming Commission Meeting Report

June 18 Meeting

The Mississippi Gaming Commission held its regular monthly meeting on Thursday, June 18, 2020, at 9:00 a.m. by teleconference. Executive Director Allen Godfrey, Chairman Al Hopkins, and Commissioners Jerry Griffith and Tom Gresham were in attendance. The following matters were considered:

LICENSING

The Commission approved the issuance of licenses to the following:

  • Galaxy Gaming, Inc. as a Manufacturer and Distributor

  • Aristocrat Technologies, Inc. as a Multi-Site Wide Area Progressive Operator and as a Manufacturer and Distributor

  • Magnolia Hill, LLC d/b/a Riverwalk Casino Hotel as a gaming operator

FINDINGS OF SUITABILITY

The Commission approved findings of suitability for the following persons and entities:

  • Todd Cravens, President and Chief Executive Officer of Galaxy Gaming, Inc.

  • Mark Lipparelli, Chairman of the Board of Galaxy Gaming, Inc.

  • Todd George, Senior Vice President of Regional Operations at Penn National Gaming, Inc.

  • Jorge Perez-Saad, Portfolio President of MGM Resorts International

OTHER APPROVALS

The Commission approved the following:

  • Galaxy Gaming, Inc.

    • Registration of Galaxy Gaming, Inc. as a Publicly Traded Corporation

    • Exemption from 13 Mississippi Admin Code Part 2 Rule 8.5(a) and (b) - Corporate Licenses

    • Exemption from Mississippi Code Ann. § 75-76-207(1) and (4) (1972)

    • Request for Waiver of the Legend Requirement

    • Continuous Approval of Public Offerings and/or Private Placements

      • Pledges of Equity Interests or Securities

      • Imposition of Equity Restrictions including Negative Equity Pledges

      • Guarantee of Securities and Hypothecation of Assets

  • Aristocrat Technologies, Inc.

    • Continuous Approval of Public Offerings and/or Private Placements

    • Pledges of Equity Interests or Securities

    • Imposition of Equity Restrictions including Negative Equity Pledges

    • Guarantee of Securities and Hypothecation of Assets

WORK PERMITS

The Commission accepted the hearing officer's findings and decisions with respect to the hearing held on March 5, 2020, regarding Lashonda Polk.
